MiniPay Card Cashback Terms of Service

This is a contract. These MiniPay Card Cashback Terms of Service (“Cashback Terms”), along with Blueboard’s Privacy Statement form a legally-binding contract between you and Blueboard Limited. By using the MiniPay Card, you are agreeing to be legally bound by these Cashback Terms. If you don’t agree with these Cashback Terms, you must opt out from the Cashback by sending a request to the Blueboard support team via app channel in MiniPay. 

1. Eligibility. To use the Cashback, you must be at least 18 years old, have full legal capacity, have a MiniPay wallet and MiniPay Card. 
2. Earning Rewards. You can earn Rewards when purchasing goods or services with a MiniPay Card. Blueboard provides you only with the Cashback described herein. Blueboard does not sell any goods or services.
   
   • The Rewards that can be earned will vary depending on the user country of residence. The current Rewards are up to 5% of the MiniPay Card transaction value, calculated in USD, and are payable as follows:
     
     • EEA: USDC
     • All other regions: XAUt0- Tether Gold
   • The Rewards may be changed, suspended or terminated by Blueboard at any time before your purchase with MiniPay Card.
   • Your right to a Reward accrues only for confirmed MinPay Card transactions. The MinPay Card transaction is “confirmed” only if and when:
     • the purchase is made with your MiniPay Card
     • You did not withdraw from or revoke the purchase
     • The purchase was not refunded
   • The MiniPay Card transaction settlement currency is USD. If You purchase goods or services, in a different currency, applicable VISA exchange rates and fees may apply. Blueboard does not charge any fees for currency conversion.
   • For the purpose of calculating Rewards value, Blueboard uses the following exchange rates:
     • USD to USDC = 1:1
     • USD to XAUT = CoinMarketCap exchange rate on the Reward payout day
   • The Rewards you can earn in any calendar month may not exceed a maximum amount (“Rewards Cap”) that is 150 USDT/USDC or its equivalent in XAUT0- Tether Gold. You are responsible for reporting income in accordance with the applicable rules in your country of tax residence.
   • Purchase of some goods and services are not subject to Cashback and are excluded from earning the Rewards. You may find the list of Cashaback excluded goods and services in the Annex 1 to these Cashback Terms.

4. Rewards must be redeemed. 
   
   • In order to redeem Rewards you need to have an active MiniPay wallet.
   • Provided that your MiniPay Card transaction has been confirmed as described  above, Blueboard will redeem your Rewards to your Mini wallet. Rewards will be redeemed from 30 to 60 days after your confirmed transactions. 
   • Rewards are not redeemable if Blueboard determines in its sole discretion that:
     
     • you have abused IT systems, payment card network, MiniPay card, to create fictitious transactions, take ownership of someone else’s transactions, or affect the integrity, confidentiality, or availability of the Cashback data in any way;
     • you attempted to circumvent any of the security mechanisms of the Cashback;
5. You or Blueboard may terminate this agreement. You may terminate this Agreement at any moment by sending an email request to Blueboard support. Except as otherwise specified herein, Blueboard may terminate these Cashback Terms at any time on prior notice. Should you violate these Cashback Terms Blueboard may delete your Cashback the Cashback Terms with you unilaterally, through a notification to your email address. Your right to redeem Rewards will expire upon termination. Termination of these Cashback Terms does not affect your use of other Services provided by Blueboard and the Blueboard Terms of Service will still apply to your use of such other Services.
6. Deleting the Cashback. Your Cashback can be deleted by yourself or automatically upon termination of the MiniPay Card agreement. Please note that after deleting your Cashback:
   
   • Blueboard will erase your Cashback data to the extent permitted by applicable law; and
   • you will no longer receive any notifications related to the Cashback feature.
7. Contacting Blueboard support. You may address support requests, or any other incident or complaint to our customer support channel in MiniPay.
8. We expect you to be a responsible user. You agree that you will not use the Cashback for any purpose that is unlawful or prohibited by these Cashback Terms. You agree to follow all applicable local, state, national, and international laws and regulations. You are solely responsible for all acts or omissions that occur while using Cashback.
9. Your access to the Cashback feature is subject to change. Blueboard reserves the right to modify these Cashback Terms. In the event of material changes we will provide reasonable advance notice. If you do not accept the modifications, you may unilaterally terminate the Cashback Terms by deleting your Cashback.
10. Our Cashback feature is free of charge and ad-supported. Cashback feature is provided free of charge. Blueboard incurs substantial development, collocation and bandwidth expenses in doing this. 
11. Blueboard is not responsible for any damages you may incur as a result of your use of the Cashback.
    
    • The Cashback feature is provided “as is” without warranties of any kind. Blueboard does not guarantee that your use of the Cashback will be problem free. Although we work hard to provide the highest quality software and services, we cannot and do not guarantee that they will work perfectly every time or in every respect.
    • You agree that Blueboard shall not be responsible or liable for the performance or non-performance of the Cashback. Blueboard’s liability is limited to the amount of actual damage you incur as a result of Blueboard’s deliberate actions.
    • You agree that Blueboard shall not be responsible for unauthorized access to or alteration of your transmissions or data, any material or data sent or received or not sent or received, or any transactions entered into through the Cashback.
    • In no event shall Blueboard and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages, or any damages whatsoever including, without limitation, damages for loss of use, data, or profits, arising out of or in any way connected with the use or performance of the Cashback, with the delay or inability to use the Cashback, the provision of or failure to provide Cashback, or for any information, software, products, services, and related graphics obtained through the Cashback, or otherwise arising out of the use of the Cashback, whether based on contract, tort, negligence, strict liability, or otherwise, even if Blueboard or any of its suppliers has been advised of the possibility of damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply in every instance. If you are dissatisfied with any portion of the Cashback, or with any of these terms, your sole and exclusive remedy is to discontinue using the Cashback and related website.
    • You agree to indemnify and hold Blueboard, its parents, subsidiaries, affiliates, officers, and employees, harmless from any claim, demand, or damage, including reasonable attorneys’ fees, asserted by any third party due to or arising out of your use of or conduct on the Cashback.
12. Data processing. Your access to the Cashback is subject to Blueboard’s Privacy Statements. We encourage you to read the Privacy Statement to better understand how you can manage your data.
13. Severability. If any provision of these Cashback Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Cashback Terms, which shall remain in full force and effect.
14. Waiver of rights. No waiver of any term of these Cashback Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Cashback Terms shall not constitute a waiver of such right or provision.
15. These General Terms are based on Norwegian law. These Cashback Terms are governed by the laws of Norway without giving effect to any conflicts of law principles that may require the application of the laws of a different country. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these General Terms. All actions or proceedings arising under or related to these General Terms must be brought in the Oslo City Court, and each party hereby agree to irrevocably submit to the jurisdiction and venue of any such court in all such actions or proceedings. For the avoidance of doubt, nothing in these Cashback Terms is intended to be construed as limiting your rights under applicable law.
